Terms of Service

By accessing or using BidCheck ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

BidCheck provides an AI-powered bid compliance analysis platform for construction professionals. The Service allows users to upload bid documents and scope-of-work files and receive automated compliance reports, risk findings, and bid comparison summaries generated by large language models.

BidCheck analysis outputs are informational in nature and are not a substitute for professional legal or contractual advice. You are responsible for independently verifying any findings before acting on them.

Access to the Service requires creating an account via our authentication provider (Clerk). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@getbidcheck.com if you suspect unauthorized access.

You must provide accurate and complete information when creating an account. Accounts may not be shared across individuals or organizations without a plan that supports multiple users.

You agree not to use the Service to:

• Upload documents that contain unlawful, harmful, or fraudulent content
• Attempt to reverse-engineer or extract the underlying AI models or prompts
• Resell or redistribute analysis outputs without written permission from BidCheck
• Interfere with the integrity or performance of the Service
• Violate any applicable local, state, federal, or international law

BidCheck offers paid subscription plans billed monthly or annually. Payments are processed by Stripe. By subscribing, you authorize BidCheck to charge your payment method on a recurring basis until you cancel.

All fees are non-refundable except where required by law or expressly stated otherwise. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period.

BidCheck reserves the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You retain ownership of all documents you upload to the Service. By uploading documents, you grant BidCheck a limited, non-exclusive license to process those documents solely to provide the Service to you.

BidCheck retains all rights in the Service, including its software, design, prompts, models, and brand. Nothing in these Terms grants you a right to use BidCheck's trademarks, logos, or other proprietary materials.

Analysis reports generated by the Service are provided to you for your use. BidCheck may use aggregated, de-identified usage data to improve the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BIDCHECK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDCHECK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. BIDCHECK'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO BIDCHECK IN THE THREE MONTHS PRECEDING THE CLAIM.

BidCheck may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by canceling your subscription and ceasing use of the Service.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

We may update these Terms from time to time. We will notify you of material changes by emailing the address associated with your account or by posting a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
